About the Role

We are looking for an experienced Mergers & Acquisitions (M&A) Specialist to support our acquisition

activities in the United Kingdom.

The successful candidate will identify suitable acquisition opportunities, build relationships with business

owners, assess potential investments and manage transactions through to completion.

A proven track record of successfully completing UK M&A transactions is essential. Candidates must be able

to demonstrate their personal involvement in negotiations, due diligence, transaction execution and closing.

You will work closely with our UK team and colleagues in Japan, as well as external legal and financial advisers,

to progress acquisitions that align with the group’s long-term investment strategy.

Key Responsibilities

Mergers and Acquisitions Origination and Deal Sourcing

 Identify established UK businesses suitable for investment or acquisition, particularly majority or full

acquisitions.

 Develop and maintain a pipeline of potential acquisition opportunities.

 Use existing professional networks and direct approaches to source opportunities, including off-market

transactions.

 Build relationships with business owners, shareholders, CEOs, directors and senior management.

 Understand shareholders’ objectives, including succession planning, ownership changes, growth funding

and business expansion.

 Assess whether the existing management team is willing and able to remain following acquisition.

Financial and Commercial Evaluation

 Review business models, ownership structures, financial performance, market position and growth

opportunities.

 Obtain and analyse financial statements and relevant commercial information.

 Assess profitability, EBITDA, cash flow, working capital, debt and key business risks.

 Undertake company valuations and evaluate potential transaction structures.

 Prepare clear investment summaries and recommendations for management in the UK and Japan.

Transaction Execution and Closing

 Manage acquisitions from initial discussions and confidentiality agreements through to completion.

 Lead commercial discussions on valuation, deal structure and heads of terms, in coordination with senior

management.

 Coordinate financial, legal, tax and commercial due diligence with internal teams and external advisers.

 Identify transaction risks, resolve outstanding issues and maintain momentum throughout the acquisition

process.

 Work with solicitors and other advisers to progress transaction documentation and completion

requirements.

 Maintain regular communication with sellers and their advisers.

 Track milestones, provide accurate progress updates and support the handover following completion.

Relationship Management

 Develop long-term relationships with UK business owners, corporate finance advisers, brokers, accountants,

solicitors and investment professionals.

 Represent Bold Investment professionally in meetings and negotiations.

 Maintain strict confidentiality when handling company information and potential transactions.

Required Experience and Skills

 A demonstrable track record of closing M&A transactions involving UK businesses.

 Direct, material involvement in negotiations, due diligence and transaction execution through to

completion.

 Relevant experience within an M&A advisory firm, corporate finance practice, investment bank, private

equity firm, corporate acquisitions team or similar organisation.

 Strong understanding of the full M&A transaction lifecycle.

 Sound knowledge of financial statements, company valuation and deal structuring.

 Understanding of EBITDA, enterprise value, equity value, net debt, working capital and valuation methods.

 Strong commercial judgement and the ability to identify risks and assess acquisition suitability.

 Excellent communication, negotiation and relationship-management skills.

 Ability to independently originate opportunities and manage several transactions at different stages.

Preferred Candidate Profile

We are particularly interested in candidates who have:

 Completed buy-side acquisitions of privately owned UK businesses.

 An established network of UK business owners and M&A intermediaries.

 Experience sourcing and progressing off-market opportunities.

 Experience acquiring owner-managed businesses where management remains after completion.

 Experience in asset-light sectors such as wholesale, distribution, import/export, trading, IT and business

services.

 Experience working with international investors or overseas headquarters.

 A relevant degree or professional qualification in finance, accounting, business or a related field.
