PURPOSE OF THE ROLE

  • With over 1000+ financial services clients internationally, including 41/50 of the largest banks in the world, who rely on us to advise them on their complex projects and matters, we are regarded as a ‘giant' in banking and finance. As part of our exciting AG2030 growth strategy, we are thrilled to appoint a Managing Associate in our Funds Finance practice to sustain our momentum and further accelerate our growth.
  • The Funds Finance market continues to go from strength to strength, having evolved significantly in recent years and as a key part of a global alternatives market which some market forecasts predict to grow 10% each year to 2030 and beyond.
  • You will be at the heart of the European Funds Finance market, acting for some of the best lenders and borrowers on capital call, NAV, GP and manager facilities.
  • You will be part of a dedicated and growing Funds Finance and financial institutions lending team, supported by bench strength across the AG platform that ensures you will be able to deliver for your clients and to grow and progress in your career.

THE TEAM

  • The team advises on facilities to fund structures around the world, with a focus on the UK and key continental European jurisdictions but deals involving the US, Middle East and major offshore jurisdictions as well. We work closely with experts across the firm as part of our Private Funds Group. We are best known for acting for some of the most active lenders in the European market, though are also acting on the borrower side for an increasing number of UK and international alternative asset managers.
  • Regularly advises on capital call, hybrid and NAV financings to funds across a broad spectrum of strategies - private equity, credit, infrastructure / renewables, real estate and secondary funds - as well as on GP support or co-investment facilities. In financial institutions lending, we also act on facilities to insurers across the UK, Europe and Bermuda, and wealth and other asset managers.
  • Recent experience includes acting for:

o bank on EUR 75 million capital call facility to a European PE fund
o lender club on up to £600 million capital call facilities to a European private credit fund
o non-bank lender on NAV facilities to a European PE fund
o secondaries manager on a number of capital call facilities
o bank syndicate on facilities of over US$450 million to a European insurer

  • Managing projects with partner support from initial instruction through to closing and post-closing, ensuring smooth process to transaction close and delivering projects efficiently.
  • Strengthens existing client relationships, developing new clients and building market profile, including helping drive business development initiatives and client-focused thought leadership.
  • Providing supervision and training to more junior members of the team including trainees and paralegals.
  • As a senior lawyer in our funds finance team, you will play a key role in driving the adoption of technology and innovation within our practice. You will be expected to stay at the forefront of market developments, including the use of digital platforms, automation, and emerging technologies to enhance transaction efficiency and client service. Your ability to help implement innovative solutions will be instrumental in helping our clients navigate the evolving financial landscape, manage risk, and capitalise on new opportunities.   • This is a high performing, cohesive and busy team with a strong reputation for providing Managing Associates with high levels of responsibility within a supportive and stretching environment and therefore you can expect to take a leading role.

YOUR AREAS OF KNOWLEDGE AND EXPERTISE

  • A qualified solicitor with at least 5 years+ PQE in banking and finance law, with demonstrable exposure to Funds Finance transactions.
  • Proven track record acting for both lenders and borrowers on Funds Finance facilities, including one or more of capital call, hybrid, NAV, umbrella and manager facilities.
  • Strong understanding of fund structures, including their legal and commercial drivers.
  • Skilled in drafting and negotiating LMA based facility agreements, security documents and managing local counsel and conditions precedent processes.
  • Ability to collaborate across practice groups and jurisdictions, leveraging the wider AG platform, and desire to contribute to team strategy, training and knowledge sharing.
  • Commitment to continuous learning and staying abreast of developments in Funds Finance and wider financial services.
