ABOUT TRINITY INTERNATIONAL
Trinity International is a specialist international law firm focused on corporate, finance, projects and disputes work in emerging markets, particularly across Africa, Asia-Pacific and Latin America. The firm advises sponsors, investors, development finance institutions, multilaterals, commercial banks, funds, governments and other public sector stakeholders on complex cross-border transactions.
The firm has deep experience across the power and renewables, infrastructure, resources, mining, oil and gas, petrochemicals, heavy industry, manufacturing and agribusiness sectors. The Finance / Projects team advises lenders, development finance institutions, sponsors, developers, investors and governments on project finance, corporate finance, acquisition finance, structured finance and related project development matters, with a particular focus on transactions in emerging and frontier markets.
THE OPPORTUNITY
We are seeking an ambitious and commercially minded Associate to join our Finance / Projects practice. This is a full-time role based in our London office, with hybrid working requiring no fewer than three days per week in the office.
The role offers the opportunity to work on high-profile, cross-border financing transactions across emerging markets, often involving leading sponsors, infrastructure developers, commercial lenders, development finance institutions, export credit agencies, multilaterals and public sector stakeholders.
Although the role will be primarily focused on financing transactions, Trinity does not believe in lawyers having an unduly narrow focus. The successful candidate will also have opportunities to work across project development, M&A/private equity, commercial contracts and, where appropriate, disputes-related matters.
The successful candidate will work closely with partners, counsel and associates across the firm’s international offices and will be expected to contribute to transaction execution, client relationship management and business development initiatives.
KEY RESPONSIBILITIES
Drafting, reviewing and negotiating finance and security documents, including facility agreements, common terms agreements, security documents, direct agreements, intercreditor arrangements and related conditions precedent documentation.
Advising on project finance, corporate finance, acquisition finance, development finance and structured finance transactions across the energy, infrastructure, mining, natural resources, industrial and agribusiness sectors.
Managing due diligence workstreams, coordinating local counsel and advisers, and assisting with transaction structuring, execution and completion.
Working directly with clients and counterparties to manage document processes, closing mechanics, conditions precedent and post-completion matters.
Supporting partners and senior lawyers on client pitches, publications, conference materials and other business development activities.
CANDIDATE PROFILE
Qualified solicitor in England & Wales or another recognised common law jurisdiction, typically with at least three years’ post-qualification experience or equivalent transactional experience.
Strong experience in financing transactions, ideally including project finance, corporate lending, acquisition finance, development finance or structured finance.
Excellent drafting, negotiation, due diligence and project management skills, with proven ability to manage transaction processes efficiently and accurately.
Experience working with lenders, development finance institutions, sponsors, developers, investors or public sector stakeholders would be advantageous.
Experience in the energy, infrastructure, mining, natural resources, telecommunications, industrial or agribusiness sectors would be helpful.
Experience of transactions in Africa, the Middle East, Asia-Pacific, Latin America or other emerging markets would be an advantage.
Commercially focused, responsive and confident working directly with clients, counterparties, local counsel and colleagues across international offices.
Strong academic credentials, fluency in English and, where applicable, the right to work in the UK without sponsorship.
