We’re hiring an experienced technology Legal Counsel with a strong background in digital health, medtech, or pharma to join our Head of Legal. In this role, you will support and advise on a broad spectrum of legal matters, acting as a trusted voice for critical business decisions while partnering closely with the business. Your days will vary from managing and driving complex commercial contracts and corporate governance to acting as a strategic legal partner to our People, Finance, Privacy, and Regulatory Teams.
This position requires a resilient, pragmatic, highly industrious, and hands-on professional who thrives in a fast-paced, ever-changing environment and is genuinely excited to help build Huma’s global legal, compliance, and corporate infrastructure across multiple jurisdictions. Minimum qualifications
- Professional Qualification: Qualified lawyer holding a current Practising Certificate, or an equivalent professional legal qualification from a recognized Common Law jurisdiction, with 5 years to 10 PQE.
- Education: LLB, GDL, and LPC qualifications.
- Experience: Proven professional experience in technology/AI law, gained within a reputable law firm or in-house legal department.
- Commercial support (Tech/AI): Strong, pragmatic, and hands-on experience structuring, drafting, negotiating, and closing a diverse range of commercial and tech/AI related contracts with partners, suppliers, and customers.
- AI Law and Governance: To support our Regulatory Team, you’ll needa solid understanding of AI law and governance (including EU AI Act) to ensure our technologies continue to be deployed safely and in full compliance with rapidly changing global regulations.
- Financial Understanding: A good understanding of, amongst other things, commercial consumption models and the fundamental principles of revenue recognition. You will partner closely with our Commercial and Finance Teams to ensure our commercial agreements are structured to optimize revenue alignment.
- Intellectual property: You’ll need a deep understanding of IP law. The Legal Team is responsible for safeguarding Huma's proprietary technologies, managing our global IP portfolio, and advising on IP ownership, licensing, and protection strategies within complex commercial agreements and cross-border collaborations.
- Cross-Border Transactions: Direct experience managing multi-jurisdictional commercial agreements and analyzing cross-border legal risks.
- Employment law: Experience drafting employment contracts, contractor agreements, and consultancy agreements, alongside providing general day-to-day employment law advice.
- Company Secretarial & Companies House: Direct experience handling company secretarial duties, maintaining statutory registers, and managing mandatory filings and corporate submissions with Companies House.
Key responsibilitiesCommercial Agreements
- Structure, draft, negotiate, and execute commercial (tech/AI) contracts across a global, multi-jurisdictional framework (NDAs, MOUs, MSAs, SOWs, Work Orders, etc.).
- Review partner, supplier, and customer agreements to establish clear contracts, mitigate liabilities, and manage international risk profile.
- Happily dive into ad-hoc legal tasks, regulatory research, and strategic corporate projects as needed.
People Team Support & Employment Law
- Draft, review, and update employment contracts, offer letters, company policies, and staff handbooks.
- Structure and negotiate robust contractor agreements and consultancy agreements to protect intellectual property and manage classification risks.
- Provide clear, practical, day-to-day legal advice to the People Team on employee relations, performance management, redundancies, and grievances.
- Manage and coordinate the response to any Employment Tribunal claims, including drafting response forms, gathering evidence, and instructing external counsel where necessary.
Company Secretarial & Corporate Governance
- Manage day-to-day company secretarial administrative duties for UK entities, ensuring strict adherence to statutory deadlines.
- Prepare and submit accurate and timely filings to Companies House, including confirmation statements, director appointments/resignations, and share allotments.
- Maintain and update statutory books, board minutes, and corporate records with high attention to detail.
Legal Infrastructure & Risk Management
- Contribute directly to developing, refining, and scaling Huma's internal legal infrastructure, playbooks, and template agreements.
- Creatively issue-spot and provide proactive, solution-oriented advice as Huma expands into new international ventures and partnerships.
- Ensure corporate structures, employment practices, and agreements align with local laws, data privacy standards, and global healthcare requirements.
